Corporate Governance

The traditional core function of corporate governance has been to provide a check on the power of firm management and to protect the interests of shareholders. Boards of directors are typically responsible for the governance of their organization. Issues associated with corporate governance can include: executive compensation, board and committee independence, controls, codes of conduct, financial reporting, country level codes, and legal frameworks. In the United States this includes compliance with regulations such as those instituted under the Sarbanes-Oxley Act, and more recently the Dodd-Frank Wall Street Reform and Consumer Protection Act.

Good corporate governance can help companies ensure efficient use of resources, attract investors, and recognize stakeholder interests. It is being considered increasingly as a part of corporate citizenship and linked to better financial performance. Sound oversight and operational controls play a key role in minimizing risk and maximizing shareholder value.
